Notice; Waiver of Notice. In addition to any other specific notice provisions provided herein, all notices that are required or may be given under these bylaws shall be deemed given and shall be effective: (i) when delivered personally, (ii) when sent by private carrier, upon verification of delivery or refusal by signature or otherwise, (iii) when sent by mail, upon deposit in the United States mail, properly addressed, with postage pre-paid; or (iv) when sent by facsimile, electronic communication, email, or other form of wire or wireless communication, upon confirmation of receipt or refusal. Whenever notice is required by law, by the Articles or by these bylaws, a waiver thereof in writing signed by the Director or other person entitled to said notice, whether before, at, or after the time stated therein, shall be equivalent to such notice.

Notice; Waiver of Notice. (a) Written notice of any special meeting of Managers shall be given at least two (2) days before the meeting as follows: by leaving such notice at the residence or usual place of business of each Manager; by mailing such notice, postage prepaid, and addressed to each Manager at his/her address as it appears in the records of the Company; by facsimile or electronic mail transmission of such notice to each Manager’s usual place of business; or by hand delivery to each Manager at his/her usual place of business or, in the event such notice is given on a Saturday, Sunday or holiday, to each Manager at his/her residence. If mailed, such notice shall be deemed to be delivered two (2) business days following the date deposited in the United States mail properly addressed, with postage thereon prepaid. If notice is given by facsimile or electronic mail transmission, such notice shall be deemed given upon electronic confirmation of receipt.

Notice of each regular Board meeting not previously approved by the Board and each special Board meeting shall be (a) mailed by U.S. mail to each director not later than two (2) days before the day on which the meeting is to be held, (b) sent to each director by overnight delivery service, telex, facsimile transmission, telegram, cablegram, radiogram, e-mail, any other electronic transmission permitted by Nevada law or delivered personally not later than 5:00 p.m. (EST time) on the day before the date of the meeting, or (c) provided to each director by telephone not later than 5:00 p.m. (EST time) on the day before the date of the meeting. Any director who attends a regular or special Board meeting and (x) waives notice by a writing filed with the Secretary, (y) is present thereat and asks that his/her oral consent to the notice be entered into the minutes or (z) takes part in the deliberations thereat without expressly objecting to the notice thereof in writing or by asking that his/her objection be entered into the minutes shall be deemed to have waived notice of the meeting and neither that director nor any other person shall be entitled to challenge the validity of such meeting.

Notice of any special meeting of the Steering Committee shall be given at least three (3) Business Days prior to any meeting by written notice to each member of the Steering Committee at his or her address including the time and place of such meeting. If written notice is delivered by mail or courier service, then it shall be given on not less than three calendar days’ notice to each director. Notice of special meetings of the Board need not state the purpose thereof, except as otherwise expressly provided by law, the Certificate of Incorporation or these Bylaws. Any and all business may be transacted at a special meeting, unless otherwise indicated in the notice thereof or provided by law, the Certificate of Incorporation or these Bylaws.
